All of the shares in the offering are to be issued by PDS. PDS intends to grant the underwriters a 30-day option to purchase up to an additional 15% of the shares sold in the offering to cover over-allotments, if any. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. \n \n \n PDS intends to use the proceeds from this offering to fund working capital and general corporate purposes.\n \n \n Oppenheimer & Co. Inc. is acting as the sole book-running manager for the offering.\n \n \n NetScientific intends to invest £0.5 million in the PDS offering, which has been financed by drawing down £0.4 million under the loan facility agreement dated 9 April 2020 with the AB Group Limited and as to the balance from the Company's existing resources.
