Each Option is exercisable into one Common Share at an exercise price of $0.68, being the closing market price of Empress' common shares on June 6, 2025. The Options will vest as to one-third on the date of grant, one-third one year from the date of grant, and one-third two years from the date of grant and will expire on June 6, 2030. All stock option grants will be governed by the Company's Stock Option Plan which was approved by the shareholders of the Company at its last annual meeting of shareholders held on June 26, 2024.In addition, the Board of Directors has also approved the granting of 1,750,000 restricted share units (\"RSUs\") and 650,000 deferred share units (\"DSUs\") to certain directors, officers and consultants of the Company. Each of the RSUs and DSUs will vest equally over two years, with the first vesting date occurring June 6, 2026.
