(TSXV: EMNT) (the \"Company\") is pleased to announce a non-brokered private placement (the \"Offering\") for up to $2,800,000. Pursuant to the Offering, if fully subscribed to, the Company will issue 4,000,000 common shares at a price of $0.70 per common share, for gross proceeds of $2,800,000. The proceeds of the private placement are for the Company's general working capital, to fund the investigation of potential acquisitions and for exploration activities. The Company intends to close the private placement on or before May 31, 2021 and closing of the private placement is subject to the approval of the TSX Venture Exchange. The private placement will be conducted in reliance upon certain exemptions from the prospectus requirements. The securities issued under the private placement will be subject to a hold period expiring four months and one day after the closing date. The common shares have not been and will not be registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
