The private placement involves the issuance of 5,000,000 units (\"Units\") to Rawhide Mining LLC at a price of CDN$0.05 per Unit. The private placement is the third and final tranche of a CDN$1.0 million private placement that is part of a series of transactions related to the Company's Buckskin Rawhide East Property. Each Unit consists of one common share (a \"Share\") of the Company and one half of one non-transferable share purchase warrant (each full warrant, a \"Warrant\"). Each Warrant entitles RMC to purchase, for a period of 24 months, one additional Share at a price of CDN$0.10. The Shares and any Shares issuable on the exercise of Warrants, are subject to a minimum hold period of four months plus one day, expiring November 19, 2014. No finder's fees were paid as part of this private placement. \n\n \n \nThe proceeds of the private placement will be used for the acquisition of the remaining 25% of the Buckskin Rawhide East Property and for general working capital.
