(“\n \n\n ARESOL\n \n\n ”)\n \n\n to build four\nTDP turnkey facilities in the European Union using Ecolomondo’s\nThermal Decomposition Process (“\n \n\n TDP\n \n\n ”) proprietary\ntechnology.\n \n\n\n\n On December 2, 2024, t\n \n\n he Company\n \n\n signed a non-binding letter of intent for a\njoint venture with ARESOL to build a 4-reactor TDP facility that could\nprocess 20,000 metric tons\n \n\n /\n \n\n year of end-of-life tires in Spain. After further discussions\nand following a detailed technical audit by ARESOL, the parties\nconcluded in July 2025 a definitive agreement to build four TDP\nturnkey facilities in the European Union, with the first to be built\nin Valencia, Spain. Locations of the other three sites will be\ndetermined once necessary due diligence is performed by the parties\nwith the focus on feedstock availability, tipping fees, offtake\nagreements and government support.\n \n\n\n\n ARESOL is a business group with over 40 years of\nexperience in the renewable energy sector that develops, executes and\noperates renewable energy projects from conception to installation and\noperation.
