Directors Shareholding

Thomson Intermedia PLC 04 August 2005 Thomson Intermedia PLC, ('Thomson Intermedia' or the 'Company') Directors Shareholding The Company was notified today that Fiona Driscoll, a non-executive director of the Company, had purchased earlier today 20,000 ordinary shares in the Company at 210p bringing her total shareholding to 71,023 representing 0.25 per cent. of the current issued share capital. In addition, the Company was also notified today that John Napier, the non-executive Chairman of the Company, had sold earlier today 20,000 ordinary shares in the Company at 210p taking his total shareholding to 165,500 representing 0.58 per cent. of the current issued share capital. Further to yesterday's announcement about Thomson Intermedia's proposed acquisition of BCMG Limited ('Billetts') for a maximum consideration of £13.1 million, Sarah Jane Thomson and Stephen Thomson (joint Chief Executives and founding shareholders) have agreed to sell a further 360,000 ordinary shares at the Placing Price, 210p, conditional on the Acquisition. This takes the total proposed sale by Sarah Jane Thomson and Stephen Thomson to 2,360,000 ordinary shares, which is conditional on the Acquisition.
