(\"\n \n Auka\n \n \") (TSXV: AUK.P) a capital pool company as defined under Policy 2.4 – Capital Pool Companies (\"\n \n CPC\n \n \") of the TSX Venture Exchange (the \"\n \n Exchange\n \n \"), and Dr. Phone Fix Canada Limited (\"\n \n DPF\n \n \"), are pleased to announce the completion of DPF's first tranche of its brokered private placement of subscription receipts (\"\n \n Subscription Receipts\n \n \"), led by Canaccord Genuity Corp. as lead agent (the \"\n \n Agent\n \n \"), at a price of\n \n $1.37\n \n per Subscription Receipt for aggregate gross proceeds of\n \n $1,445,256.84\n \n (the \"\n \n Financing\n \n \"). DPF anticipates completing a second and final tranche of the Financing within the next few weeks.\n \n\n DPF completed the Financing pursuant to an agency agreement dated\n \n February 6, 2025\n \n , between DPF, Auka and the Agent. Under the terms of the Financing, DPF issued 1,054,932 Subscription Receipts at a price of\n \n $1.37\n \n per Subscription Receipt for gross proceeds of\n \n $1,445,256.84\n \n .
