(OTC: SHFK.PK), a family of companies providing fully integrated steel construction services, today announced that Witherspoon Acquisition Corp. has extended the expiration date of its tender offer to 12:00 midnight, New York City time, on Monday, March 27, 2006. Witherspoon Acquisition Corp. seeks to acquire all of the outstanding shares of common stock of Schuff International, for $8.50 per share in cash. The tender offer was previously scheduled to expire at 12:00 midnight, New York City time on March 20, 2006.\r\nAs previously announced, certain holders of common stock have agreed to tender or contribute to Witherspoon Acquisition Corp.'s parent an aggregate of 4,409,100 shares. At 12:00 midnight, New York City time on March 20, 2006, 86,403 shares (in addition to 1,220,000 shares covered by that agreement) had been tendered.\r\nSchuff International is a fully integrated fabricator and erector of structural steel and heavy steel plate. Schuff International fabricates and erects structural steel for commercial and industrial construction projects such as high- and low-rise buildings and office complexes, hotels and casinos, convention centers, sports arenas, shopping malls, hospitals, dams, bridges, mines, and power plants.
