[{"type":"text","content":"\n \nRNS Number : 8116C Cyan Holdings Plc 30 June 2016 \n\n \nCyan Holdings plc\n(\"Cyan\" or the \"Company\")\nResult of General Meeting\nCyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held at 11.15 a.m. today, all of the resolutions were duly passed. \n \nThe approvals include, amongst other things: \n \n· the allotment of 5,622,055,250 new ordinary shares of 0.001 pence each at 0.18 pence comprising new ordinary shares issued in connection with the placing and subscription (further details of which are set out in the circular issued to shareholders on 13 June 2016 (the \"Circular\")) raising £10.1 million before expenses; and \n \n· the allotment of 1,404,203,888 new ordinary shares issued as consideration shares in connection with the acquisition of Connode Holding AB (further details of which are set out in the Circular).\n \nFollowing such approvals and subject only to Admission (as defined below), the acquisition and the placing and subscription of 5,622,055,250 New Ordinary Shares as announced on 14 June 2016, is now complete.\n \nApplication has been made for the New Ordinary Shares to be admitted to trading on AIM (\"Admission\") and Admission is expected to become effective at 8.00 a.m. on 1 July 2016.\n \nFollowing Admission the Company's issued share capital will consist of 14,144,124,030 ordinary shares of 0.01p each. The Company does not hold any shares in treasury. This figure of 14,144,124,030 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.\nImmediately following the meeting, the Company gave a short presentation to shareholders, a copy of which can be found on the Company's website at:\nwww.cyantechnology-ir.com/html/investors/presentations.asp\n \n \nAdditional Block Listing of Ordinary Shares\n \nCyan also announces that application has been made for the block listing of up to 405,502,333 New Ordinary Shares.
