[{"type":"text","content":"\n \n \n \n RNS Number : 2027K\n CyanConnode Holdings PLC\n 31 December 2020\n \n \n \n CyanConnode Holdings PLC\n (\"CyanConnode Holdings plc\" or the \"Company\")\n Director Dealing & Issue of Equity\n The Company was informed on 29 December 2020, that David Johns-Powell, a Non-Executive Director of the Company, sold 2,653,595 ordinary shares of 2 pence each in the Company (\"Ordinary Shares\") at a price of 5.556 pence per Ordinary Share and then repurchased, (into his family company), 2,653,595 Ordinary Shares at a price of 5.556 pence per Ordinary Share to facilitate a transfer between legal entities. He also transferred 1,493,812 ordinary shares between funds held in his name at a price of 5.8 pence, where there was no change in ownership of the legal entity.\n In addition to the above transactions the Company can confirm that David Johns-Powell has subscribed for 1,250,000 Ordinary Shares at a price of 6 pence per Ordinary Share (\"New Ordinary Shares\").\n Post these transactions, David Johns-Powell has an interest in 19,083,490 Ordinary Shares, representing approximately 10.22% of the Company's total voting rights.\n Application will be made for the admission of the New Ordinary Shares to trading on AIM and it is expected that the New Ordinary Shares will be admitted to trading on AIM at 8.00 a.m. on 6 January 2021. The New Ordinary Shares will rank pari passu in all respects with the Company's existing ordinary shares of 2 pence each.\n Following the admission of the New Ordinary Shares, the Company's total issued share capital will be 186,742,898 ordinary shares of 2 pence each.
