(\"Rox-ex\"), a privately held Australian exploration company (the \"Acquisition\"). Rox-ex holds a portfolio of highly prospective gold and base-metal exploration assets in southeast Australia, including the Pambula Gold Project (\"Pambula\") in New South Wales and the Club Terrace Project (\"Club Terrace\") in Victoria (together, the \"Projects\"). Closing is expected to occur in May 2026 (the \"Closing\").
