Net proceeds from\n this offering, after deducting placement agent fees and other offering\n expenses, total approximately $7 million. All of the securities were\n offered pursuant to an effective shelf registration statement. Proceeds\n from the transaction will be used to continue to fund the Company's\n ongoing drug development activities, primarily for the advancement of\n its zoptarelin doxorubicin (AEZS-108) program, secondly for its\n macimorelin acetate (AEZS-130) program, as well as for general\n corporate purposes and working capital.\n\n\nBurrill Securities LLC acted as the exclusive placement agent for the\n transaction.\n\n\nAs of July 30, 2013 and after issuing 5.2 million common shares at the closing of this offering, the Company had\n approximately 31.2 million common shares issued and outstanding,\n without giving effect to or assuming the exercise of any outstanding\n warrants.\n\n\nA shelf registration statement relating to the common shares and\n warrants issued in the offering (and the common shares issuable upon\n exercise of the warrants) has been filed with the Securities and\n Exchange Commission (the \"SEC\") and has been declared effective.
