(\"Caracal\" or the\n\"Company\"), announces that a notice of shareholder meeting (\"Notice\") and\ncircular (\"Circular\" collectively the \"Meeting Materials\") were sent to\nshareholders giving notice that a special meeting (the \"Meeting\") will be held\non October 3, 2013 in Calgary, Alberta.\n\nAt the Meeting, shareholders will be asked to vote on resolutions to allow the\nCompany to:\n\n1) amend its articles of incorporation to include a provision that it will \n adhere to the general principles of the UK's City Code on Takeover and \n Mergers to the extent reasonably practicable, which is a requirement of \n Caracal being allocated a UK classification for FTSE UK index series \n inclusion (as previously announced); and \n \n \n \n2) set annual authorization amounts for the allotment of equity securities and \n dis-application of pre-emption rights in accordance with UK corporate \n governance guidelines and make certain amendments to provisions in its \n articles of incorporation concerning such allotment of equity securities \n and pre-emption rights. \n \n\nThe Meeting Materials were submitted to the Financial Conduct Authority's\nNational Storage Mechanism and will be available for inspection online at \nwww.morningstar.co.uk/NSM.\n\nCopies of the Meeting Materials will also be made available on the Company's\nwebsite at www.caracalenergy.com and on SEDAR at www.sedar.com.\n\nAbout Caracal Energy Inc.\nBased in Canada, Caracal Energy Inc. is an international exploration and\ndevelopment company focused on oil and gas exploration, development and\nproduction activities in the Republic of Chad, Africa.
