(\"Caracal\" or the\n\"Company\"), (LSE: CRCL), announces that on October 24, 2013 it filed a final\nshort form base shelf prospectus (the \"Final Base Shelf Prospectus\") with the\nsecurities regulatory authorities in each of the Provinces of Canada, other\nthan the Province of Quebec.\n\nThe Canadian regime of a base shelf prospectus allows the Company to offer\ncommon shares, subscription receipts, warrants and debt securities\n(collectively, the \"Securities\") or any combination thereof up to an aggregate\noffering price of US$1,000,000,000 during a 25-month period that a base shelf\nprospectus remains effective. Securities may be offered separately or together,\nin amounts, at prices and on terms to be determined based on market conditions\nat the time of sale and set forth in an accompanying supplement that would also\nbe provided with the base shelf prospectus to investors. Unless otherwise\nspecified in a supplement, the net proceeds from the sale of the Securities\nunder this regime would be used for general corporate purposes, to repay\nindebtedness and to fund capital expenditures.\n\nCaracal has filed this Final Base Shelf Prospectus to maintain financial\nflexibility and to have the ability to offer the Securities on an accelerated\nbasis, once a supplement is filed over the 25-month time frame.
