(TSXV: JOR; OTCQB: JORF; FRA:2JR1) (“Jourdan” or the “Company“) is pleased to announce that it has closed its private placement financing of common shares of the Company (“Common Shares”) issued to Sayona Quebec Inc., a subsidiary of Sayona Mining Limited, for gross proceeds of $1,501,200 (the “Private Placement”). Pursuant to the Private Placement, Jourdan issued 27,000,000 Common Shares, representing approximately 9.99% of the issued and outstanding Common Shares (on a post-closing basis), at a price of $0.0556 per Common Share. All securities issued in connection with the Private Placement are subject to a statutory hold period expiring on March 11, 2023. Completion of the Private Placement is subject to receipt of final approval of the TSX Venture Exchange (“TSXV”). No finder’s fees were paid in connection with the Private Placement. The Company intends to use the net proceeds of the Private Placement for working capital and general corporate purposes. Board Appointment The Company is additionally pleased to announce that, further to its press release dated November 14, 2022, Mr. Brett Lynch has been appointed to the Company’s board of directors. Brett Lynch was appointed Managing Director/Chief Executive Officer of Sayona Mining Limited on July, 1 2019. Mr. Lynch is a highly experienced international company director and chief executive, with a strong background in mining and mining-related businesses across Australia, Asia and North America and a proven track record in advancing shareholder value. As a senior mining engineer and manager, Mr. Lynch has more than 30 years’ experience in the global industry, including previous posts with leading resources companies such as MIM Holdings, New Hope Corporation, Orica and VLI, during which time he was responsible for multi-million dollar international operations.
