(the "Company"), Deloitte & Touche LLP, Chartered\n Accountants (the "Former Auditor") have resigned as the Company's\n auditor effective March 4, 2011.  The Company has appointed HLB\n Cinnamon Jang Willoughby & Company, Chartered Accountants (the\n "Successor Auditor") as the Company's auditor in the place of the\n Former Auditor.\n\n\nThe resignation of the Former Auditor and the appointment of the\n Successor Auditor have been approved by the Audit Committee and the\n Board of Directors of the Company.  The Company wishes to thank the\n Former Auditor for their services in the past.\n\n\nThe Company confirms that the Former Auditor's reports on any of the\n Company's financial statements relating to the relevant period as\n defined by National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102) contained no reservation.  The Company confirms that there\n are no reportable events as defined by NI 51-102.\n\n\nOn behalf of the Board of\nCONSOLIDATED FIRSTFUND CAPITAL CORP.\n\n\n\n\nWilliam N.
