The distribution will be made to unitholders of\nrecord at the close of business on December 29, 2006 and will be payable on or\nbefore January 15, 2007.\n\n\nBased on distributions declared to date, the Fund's annualized cash\ndistribution rate for 2006 is $0.90. Holders of units who are non-residents of\nCanada will be subject to withholding taxes in respect of any distributions of\nincome by the Fund.\n\n\nSun Gro Horticulture Income Fund is a limited purpose trust established\non February 12, 2002 to hold the securities of Sun Gro Horticulture Canada\nLtd.
