[{"type":"text","content":"PURCHASE, N.Y., Nov. 15, 2022 (GLOBE NEWSWIRE) -- Cognition Therapeutics, Inc., (Nasdaq: CGTX), (the “Company” or “Cognition”) today announced the closing of its previously announced underwritten public offering of 5,000,000 shares of its common stock at a public offering price of $1.20 per share. The gross proceeds to Cognition, before deducting underwriting discounts and commissions and estimated offering related expenses, were approximately $6.0 million. In addition, Cognition has granted the underwriters a 30-day option to purchase an additional 750,000 shares of its common stock. Cantor Fitzgerald & Co. acted as sole book-running manager for the offering. Newbridge Securities Corporation acted as co-manager. Cognition intends to use the net proceeds of the offering to fund the development of its product candidates and for working capital and other general corporate purposes. The shares were offered by Cognition pursuant to an effective registration statement on Form S-1 (File No. 333-268228). The underwritten public offering is being made solely by means of a prospectus.
