[{"type":"text","content":"\n \n \n \n NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART, INTO ANY JURISDICTION WHERE TO DO SO WOULD CONSTITUTE A VIOLATION OF THE RELEVANT LAWS OF SUCH JURISDICTION\n \n \n \n \n \n \n \n \n \n CLS Holdings plc\n \n \n \n \n ('CLS' or 'the Company')\n \n \n \n \n \n \n \n \n \n Result of Tender Offer\n \n \n \n \n \n \n CLS is pleased to announce the results of the Tender Offer for 1 in every 40 Ordinary Shares at 250 pence per Ordinary Share, as set out in the Circular dated 15 August 2022 (the \"Circular\").\n \n \n \n \n \n A total of 154,132,053 Ordinary Shares were validly offered for tender and the number of Ordinary Shares purchased will be scaled back in accordance with the terms and conditions and the scaling mechanism set out in the Circular. Accordingly, a total of 10,184,894 Ordinary Shares will be purchased via the Tender Offer for an aggregate price of £25.5 million. This represents approximately 2.5 per cent. of the issued Ordinary Share capital of the Company.\n \n \n \n \n \n The Ordinary Shares purchased by the Company pursuant to the Tender Offer will be held in treasury and, following such purchase, the Company will hold an aggregate of 41,566,914 Ordinary Shares in treasury.
