Update on Admission of Shares

 

Cloudbreak Discovery Plc (LSE: CDL), a London Stock Exchange Main Market listed company, announces that, further to the announcement of 22 April 2026 regarding the publication of a prospectus and admission of new ordinary shares ("Shares"), the number of Shares that will be admitted to trading on the Main Market of the London Stock Exchange on Monday 27 April will now be 364,821,733.

 

The decrease in the number of Shares being admitted is principally due to the fact that, of the 330 million Shares to be issued in connection with the acquisition of 90% of the Paterson Gold-Copper-Molybdenum Project, only 100 million Shares have been issued to date with the balance only to be issued at later dates based on the achievement of certain milestones.  In addition, the number of Shares issued in connection with the conversion of outstanding convertible loan notes was 14,121,370 rather than the 20 million anticipated.

 

The Directors are working with their advisers to prepare a supplementary prospectus for submission to FCA, in connection with the change in the number of Shares issued and being admitted at this time.
