(the \"\n \n Former Clip Money\n \n \") completed a \"reverse takeover\" (the \"\n \n RTO\n \n \") of 13842053 Canada Corp. (\"\n \n 138\n \n \"). In furtherance of the RTO, Former Clip Money and 138 amalgamated under the federal laws of\n \n Canada\n \n pursuant to an amalgamation agreement dated\n \n May 20, 2022\n \n .
