Result of Placing and Offer for Sale

CELTIC PLC 15 October 1999 Result of the Placing and Offer for Sale by Williams de Broe Plc on behalf of Fergus McCann of 14,400,000 Ordinary Shares in Celtic plc -------------------------------------------------- Fergus McCann announces that in respect of the Offer for Sale of 9,997,728 Ordinary Shares by Williams de Broe on behalf of Fergus McCann announced on 20th September 1999, valid acceptances have been received for 7,525,880 Ordinary Shares, representing approximately 75.28 per cent. of the Ordinary Shares the subject of the Offer for Sale. Sub-underwriters will be required to purchase the balance of 2,471,848 Ordinary Shares for which valid acceptances were not received. In addition, Williams de Broe Plc, on behalf of Fergus McCann, has procured placees for 4,402,272 Ordinary Shares under the Placing and the Placing has become unconditional. In respect of the 14,400,000 Ordinary Shares, the subject of the Placing and Offer for Sale, definitive share certificates are expected to be issued, or CREST accounts credited, by 22nd October 1999.
