(TSX.V:CCDS; OTCQB:CCDSF; WKN: A40XB1) (the “Company” or\n“Carrier”), a data center company on a mission to roll up Tier\nII/III data centers internationally that specialize in delivering\nco-location, is pleased to announce it has\nclosed its non-brokered private placement (the “Offering”), and has\nissued 833,333 units (each, a “Unit”) at a price of $0.90 per Unit, for\nproceeds of $749,999.70. Each Unit issued consists of one common share\nof the Company and one-half-of-one transferable share purchase warrant\n(each whole warrant, a “Warrant”), each Warrant entitling the holder\nto acquire one additional common share of the Company at a price of\n$1.35 per share until December 23, 2027. No finders fees were\npaid.\n\n\nAll securities issued under the Offering are subject to\nrestrictions on resale until April 24, 2026 in accordance with\napplicable securities laws.
