The Company announced the signing of a definitive agreement for the transaction on August 4, 2025. After paying fees and expenses associated with the transaction, the proceeds from the sale will be used to repay all outstanding debt and redeem all preferred equity, which is held by global investment firm Carlyle (NASDAQ: CG). After adding modest leverage on the remaining business, the Company will have significant excess cash. The Company expects to distribute excess cash to shareholders as a dividend within 60 to 90 days of transaction closing.
