(Nasdaq: CDNA), a leading precision medicine company focused on the discovery, development and commercialization of clinically differentiated, high-value healthcare solutions for transplant patients and caregivers, today announced that it intends to offer and sell, subject to market and other conditions, up to $175.0 million of shares of its common stock in an underwritten public offering. CareDx also expects to grant the underwriters of the offering a 30 day option to purchase up to an additional $26.25 million of shares of its of common stock offered in the public offering on the same terms and conditions. All of the shares will be offered and sold by CareDx. CareDx intends to use the net proceeds from this offering for working capital and general corporate purposes. Goldman Sachs & Co. LLC and Jefferies LLC are acting as joint book-running managers for the offering. Raymond James and Associates, Inc.; BTIG, LLC; Craig-Hallum Capital Group LLC and H.C. Wainwright & Co., LLC are acting as co-managers for the offering.
