[{"type":"text","content":"\n \n Capita plc\n (“Capita” or the “Company”)\n Capita gains shareholder approval for the proposed sale of its Education Software Solutions Business\n Capita is pleased to announce that the resolution proposed at the general meeting of the Company held at 11:00 a.m. on 14 January 2021 (the “General Meeting”), seeking approval for the proposed sale of its Education Software Solutions business to Tiger UK Bidco Limited, a newly formed company ultimately owned by funds advised by Montagu Private Equity (the “Disposal”), was duly passed by shareholders. Full details of the poll result are set out below.\n \n \n Resolution\n Votes For\n %\n Votes Against\n %\n Votes Total\n % of ISC Voted\n Votes Withheld\n \n \n THAT the Disposal be approved\n 1,308,560,457\n 99.97\n 348,043\n 0.03\n 1,308,908,500\n 78.32\n 518,733\n \n \n The full text of the resolution is set out in the notice of General Meeting forming part of the circular to shareholders dated 16 December 2020.\n \n Please note a ‘vote withheld’ is not a vote under English law and is therefore not included in the calculation of votes ‘for’ and ‘against’ the resolution.\n \n The total number of issued ordinary shares in the Company (excluding treasury shares) as at 6:00 p.m. on 12 January 2021, being the voting record time, was 1,668,973,568 ordinary shares.
