The Company is to provide a variety of sauces in retail and food service formats and expects to begin production in March of 2026 with the full transition to be completed in June of this year.\nPursuant to the Agreement, executed on January 16, 2026, the Company proposes to distribute approximately $9,000,000 of product per year over the 5-year term payable in cash. The Agreement contains industry standard terms for a contract of this nature and is cancellable by either party prior to the end of the term on 270 days' notice with no initial retention payment.
