(the \"Company\" or \"Free Battery\"), announces that it has entered into an arm's length share exchange agreement, dated July 2, 2025, pursuant to which the Company has agreed to acquire (the \"Acquisition\") 15442568 B.C. Ltd., the owner of the Lac Binette property (the \"Property\"), located in Quebec's Upper Laurentians, situated just 1.2 km west of the Mitchinamecus Reservoir, in exchange for 1,000,000 common shares of the Company at a deemed issue price of $0.38 per share. The Property represents a prospective critical metals target within a pair of contiguous mineral claims totaling 117.6 square hectares. Completion of the Acquisition is subject to the satisfaction of customary conditions precedent, including the approval of the Canadian Securities Exchange. A finder's fee of 100,000 common shares of the Company at a deemed issue price of $0.38 per share will be issued to certain finders upon completion of the Acquisition. All shares issued in connection with the Acquisition will be subject to a hold period of four months and one day from issuance.
