Even though a majority of the Shareholders voted to\nreplace Randy Nichols from the Board of Directors and replace him with John\nHigginbotham, Loretta Higgins and Carlos Ryerson. The Shareholder Consent was\ntaken based upon the Company’s By-Laws whereas it is Mr. Nichols position that\nit must be in the Articles of Incorporation.\n\nIn order to resolve this controversy 10% of the shareholders\nhave demanded a Special Shareholders Meeting which will be held:\n\nPlace, Day and Hour:\nAtlanta Airport Marriott Gateway\nHotel at 2020 Convention Center Concourse in Atlanta Georgia September 23, 2014\nat 2:30 pm,\n\nPurpose: The\npurpose is to vote on the Shareholder proposal to increase the Board of\nDirectors to three members and remove Randy Nichols from the Board of Directors\nand replace him with John Higginbotham, Loretta Higgins and Carlos Ryerson.\n\nTo ensure that this notice complies with the law it is being\ncalled by 10% of the Shareholders, who designate Loretta Higgins to issue the\ncall for the meeting. \n\nSection 1.4 Notice Written Notice has been provided by\nmailing this Notice to all shareholders of record through the US Mail on\nSeptember 8, 2014 which is more than the ten days required by Section 1.4.\n\nFORWARD-LOOKING\nSTATEMENTS\n\nThe\ninformation in this news release includes certain forward-looking statements\nthat are based upon assumptions that in the future may prove not to have been\naccurate and are subject to significant risks and uncertainties, including\nstatements related to the future financial performance of the Company.
