(TSX: BLU) through\n its subsidiary, BELLUS Health (International) Limited ("BELLUS\n Health"), and FB Health LLC ("FB Health"), announced today that they\n have signed a license and supply agreement (the "Agreement") relating\n to BELLUS Health's VIVIMIND™, a patented natural health product that\n has been shown to protect memory function. \n\n\nPursuant to the Agreement, BELLUS Health is granting FB Health exclusive\n distribution rights for VIVIMIND™ in Italy, for a consideration\n consisting of an upfront payment and up to €3 million (approximately\n CAN$5 million) in commercial milestone payments should certain mutually\n agreed upon sales targets be achieved. The Agreement also provides for\n BELLUS Health to supply the product to FB Health at a pre-agreed\n transfer price. Regulatory approval for the sale of VIVIMIND™ in Italy\n for memory function protection and the maintenance of cognitive health\n was granted in 2009.
