(CGW TSX-V,\nFRANKFURT - OUH, OTCBB - CGWVF) Consolidated Gold Win Ventures wishes to\nannounce a private placement for the sale of up to 50,000,000 units (the\n"Units") at $0.10 per unit for total proceeds of $5,000,000.\n\n\nThe Units offered comprise of 30,000,000 flow-through units and\n20,000,000 non flow-through units. Each flow-through unit consists of one\nflow-through common share of the Company and one non flow-through share\npurchase warrant. Each non flow-through unit consists of one non flow-through\ncommon share of the Company and one non flow-through share purchase warrant.\nEach non flow-through share purchase warrant shall have a two year term for\nthe purchase of one further common share of the Company at the exercise price\nof $0.15 per share during the first year and an exercise price of $0.25 per\nshare during the second year. The foregoing exercise term shall be subject to\nthe following acceleration clause: if the shares of the Company trade over\n$0.30 for a period of 10 consecutive trading days on the TSX Venture Exchange,\nthe share purchase warrants may only be exercised within 30 days and will\nautomatically expire thereafter. The maximum allowable finders' fee will be\npayable, either in cash or shares or a combination of both.\n\n\nLaurence Stephenson, P.
