Each Unit will be comprised of one common share of the Company and one-half of one common share purchase warrant (a \"\n \n Warrant\n \n \"). The number of Units to be distributed, the price of each Unit, and the exercise price of each Warrant will be determined in the context of the market with final terms to be determined at the time of pricing.\n \n \n The Offering will be conducted pursuant to the terms and conditions of an agency agreement to be entered into between the Company and Canaccord Genuity as lead agent and sole bookrunner on behalf of a syndicate of agents.\n \n \n The Offering will be conducted pursuant to the Company's Canadian base shelf prospectus dated\n \n November 23, 2022\n \n (the \"\n \n Base Shelf Prospectus\n \n \").
