(\"Prospero\"), a subsidiary of Alange Energy Corp.(\"Alange\"), and Mecaya Colombia Partners LLC (\"MCP\") dated September 15, 2008(as amended by extension and amending agreements dated October 15, 2008,November 14, 2008, December 15, 2008, January 15, 2009 and November 12, 2009).Under the Agreement, Prospero (now named \"Alange Alberta Corp.\") will acquirea 50.9% share of MCP's 55% participating interest in an area known as theMecaya Block located in Colombia (resulting in a 28% interest in the MecayaBlock). The Mecaya Block consists of an area of approximately 30,000 hectareslocated in the Putumayo Province of Southern Colombia.
