Result of Meetings

ASSOCIATED BRITISH ENGINEERING PLC 8 September 1999 Associated British Engineering plc ('the Company') announces that the Resolutions which were proposed at the adjourned Class Meetings of the Company held earlier today were duly passed. Accordingly, the proposals for the consolidation and sub-division of the Ordinary Share Capital have been effected. Shareholders (other than Small Shareholders as defined in the Company's Circular dated 16 July 1999) will therefore have 1 New Ordinary Share of £2 each for every 200 existing Ordinary Shares of 1p each held. Dealings are expected to commence in the New £2 Ordinary Shares at 9.00 a.m. on 9 September 1999.
