Ascent Resources Plc (LON: AST) is pleased to announce, following the Company's acquisition and new funding announcement on 20 December 2024, that a total of 36,199,000 ("New Shares") new ordinary shares, each of 0.5 pence nominal value, are being issued at an issue price of 5 pence per New Share. As previously announced, the New Shares are being issued in relation to the consideration payable to American Helium, delivery of shares to the new equity investors and broker option subscribers as well as the issue of shares to a consultant. Application has been made to the London Stock Exchange for the New Shares to be admitted to trading on AIM ("Admission") and it is expected that such Admission will occur at 8:00am on or around 15 January 2025. The New Shares will be issued credited as fully paid and will rank in full for all dividends and other distributions declared, made or paid after the admission of the New Shares, respectively and will otherwise be identical to and rank on Admission pari passu in all respects with the existing Ordinary Shares.

Following Admission of the New Shares the Company will have 307,503,265 Ordinary Shares in issue, none of which will be held in treasury. Accordingly, the total number of voting rights in the Company will be 307,503,265 and shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
