[{"type":"text","content":"Arizona Gold & Silver Announces CDN$18 million dollar investment above market \n(TheNewswire)\n\n\nVancouver, British Columbia –\nTheNewswire - March 18 2026  – Arizona Gold &\nSilver Inc. (“Arizona”\nor the “Company”) (TSXV: AZS)\n(OTCQB: AZASF) announces that they have entered\ninto a binding agreement dated March 9, 2026 with arm's length\ninstitutional investors Sorbie Bornholm LP and Sorbie Investments\nLLP (together, \"Sorbie\") for CDN$18 million dollars.  The\nagreement is subject to final approval from the TSX Venture Exchange,\nand no new control position will be created. This is the largest\ninvestment of Sorbie to date. \n\n\nThere are no finders’ fees to be paid under this\nplacement and there will be no related party disclosure required.  No\nshareholder approval is required.\n\n\nThe investment is structured through a 22.5 million unit placement, representing an ~18% premium to the 5-day VWAP. Each unit\nis comprised of one common share and one-half share purchase warrant.\n Each unit is priced at $0.80 per unit and each full warrant is\npriced at $1.00. A portion of the shares will serve as the basis for\nthe Sharing Agreement, allowing the Company to capture additional\nnon-dilutive upside as milestones are met. Funds will be allocated to\nadvance exploration and development at the Company’s flagship\nPhiladelphia Gold-Silver\nProject in Arizona, expand drilling programs led\nby SVP of Exploration Dr. Lex Lambeck across prospective vein &\nstockwork systems, and support continued technical and operational\nprogress in one of the most historically productive precious metals\ndistricts in Arizona. \n\n\nArizona Gold & Silver continues to advance the\nPhiladelphia Gold-Silver Project located near the historic Oatman\nMining District in northwestern Arizona, an area that has produced\nmore than two 1/2 million ounces of gold from high-grade epithermal\nvein systems (NI 43-101 Technical Report, Philadelphia Property,\nMohave County, Arizona, Section 7).
