(\"Soledad\"), had signed and closed a transaction to acquire a 100% interest in Golden Queen Mining Company, LLC (\"Golden Queen\") from Auvergne Umbrella LLC.Pursuant to the transaction as described in the previous announcement, Soledad may satisfy any remaining payment obligations thereunder in the form of cash or common shares. Andean has irrevocably elected not to pay any remaining balance of the Golden Queen purchase consideration in common shares of Andean.
