[{"type":"text","content":"African Metals Corporation to File its Agreement on the Silver Bell - St. Lawrence Gold Project, Montana to the TSX Venture Exchange for Review\n \n \n (TheNewswire)\n \n \n \n TORONTO, ON –\n \n \n TheNewswire\n-\n \n \n January 29, 2021 - African Metals Corporation\n(“\n \n \n African Metals\n \n \n ” or the “\n \n \n Company\n \n \n ”)\n \n \n (\n \n \n TSXV:AFR.H\n \n \n )\n \n \n [formerly AFR] announces that,\npursuant to the rules and policies (“\n \n \n TSXV Rules\n \n \n ”) of the\nTSX Venture Exchange (“\n \n \n TSXV\n \n \n ”) and in connection with its\napplication to the TSXV for reactivation of trading of its common\nshares on the TSXV as a Tier 2 issuer, the Company will be making a\nfiling to the TSXV respecting the acquisition of its interest in 2019\nin the Silver Bell - St. Lawrence Gold Project, in the Virginia City\nMining District of Montana, U.S.A (the “\n \n \n Project\n \n \n ”) pursuant\nto its agreement (“\n \n \n Assignment Agreement\n \n \n ”) with Frederick\nPrivate Equity Corporation (“\n \n \n Frederick PEC\n \n \n ”), which acquired its interest\nin the Project from Peloton Minerals Corporation (“\n \n \n Peloton\n \n \n ”) through\nPeloton’s wholly-owned subsidiary SBSL Subsidiary Corporation\n(“\n \n \n SBSL\n \n \n ”) pursuant to an Exploration Agreement with Venture Option\n(the “\n \n \n Peloton-Frederick\nAgreement\n \n \n ”). The Project comprises a 390-acre\nclaim package located about 4 miles southwest of Virginia City in\nMadison County, Montana, and about 50 miles southeast of Butte,\nMontana. There is also an area of interest around the Project.\n \n \n \n \n John O’Donnell is an officer and/or director of\nPeloton, Frederick PEC and the Company, and, as such, recused himself\nfrom the approval process of the transactions.\n \n \n \n \n The acquisition by the Company of its interest in the\nProject pursuant to the Assignment Agreement constituted a “related\nparty transaction” under Multilateral Instrument 61-101 –\n \n \n Protection of Minority\nSecurity Holders in Special Transactions\n \n \n and a\n“Reviewable Transaction” under the TSXV Rules.
