(“Aditxt”) (Nasdaq: ADTX), a biotech innovation company with a mission to improve the health of the immune system, announced today the pricing of an underwritten public offering of 2,833,333 shares of its common stock at a public offering price of $1.50 per share, for gross proceeds of $4.25 million, before deducting underwriting discounts and offering expenses.\n\nAditxt plans to use a portion of the net proceeds of approximately $3.91 million from this offering to fund certain obligations under its previously announced Transaction Agreement with AiPharma Global Holdings entered into on October 4, 2021.\n\nRevere Securities, LLC is acting as sole book-running manager for the offering.\n\nThe offering of the common stock described above is being made pursuant to an effective “shelf” registration statement on Form S-3 (File No. 333-257645), that was previously filed with the Securities and Exchange Commission (\"SEC\") and declared effective by the SEC on July 13, 2021, and the base prospectus contained therein.
