[{"type":"text","content":"\n Accsys Technologies PLC\n04 September 2007\n\n\n4th September 2007 AIM: AXS\n\n\n ACCSYS LAUNCHES OFFERING AND EURONEXT AMSTERDAM LISTING\n\nAccsys Technologies PLC (''Accsys'') announces the proposed listing of its\nordinary shares on Euronext Amsterdam by NYSE Euronext and a public offering in\nThe Netherlands and private placement to certain institutional investors outside\nThe Netherlands of ordinary shares (the ''Offering''), following its earlier\nannouncements on 20th August 2007 and 28th June 2007. The Offering consists of\nup to 5 million new ordinary shares offered by Accsys and up to 10 million\nexisting ordinary shares offered by certain existing shareholders (the ''\nShares''). Accsys has applied for all ordinary shares to be listed and admitted\nto trading on Euronext Amsterdam by NYSE Euronext (the ''Euronext Listing'')\nunder the symbol 'AXS'. Accsys will also apply for admission of the new ordinary\nshares being issued pursuant to the Offering to trading on AIM.\n\nOffering information\n\n • The Offering, in respect of which Fortis Bank (Nederland) N.V. ('Fortis')\n is the lead manager and sole bookrunner) includes an offering of up to 5\n million new ordinary shares offered by Accsys and up to 10 million existing\n ordinary shares offered by certain existing shareholders, potentially\n complemented with an over-allotment granted by Accsys to Fortis in respect\n of new ordinary shares up to a maximum amount of 15% of the number of Shares\n offered, subject to the consent of Accsys.\n • The offer price and the actual number of Shares offered in the Offering\n will be determined on the basis of a bookbuilding process taking into\n account, inter alia, the share price of Accsys' ordinary shares as quoted on\n AIM prior to the pricing date and a qualitative assessment of demand for the\n Shares.\n • The subscription period will commence on 4th September 2007 and will end\n on 17th September 2007.\n • Pricing is expected to take place subsequent to the subscription period,\n prior to the listing of all of Accsys' ordinary shares on Euronext Amsterdam\n by NYSE Euronext.\n • The Euronext Listing is expected to take place on or about 18 September\n 2007.\n • Application will also be made for the new ordinary shares being issued\n pursuant to the Offering to be admitted to trading on AIM.\n • A prospect...
