At closing the Corporation issued\n 300,000 Flow-Through Units and 1,200,000 Non Flow-Through Units for\n aggregate gross proceeds of $390,000. The net proceeds of the Offering\n will be used for continuing exploration on the Timmins gold properties\n of the Corporation.\n\n\nEach Flow-Through Unit was comprised of one common share of the\n Corporation issued as a "flow-through share" within the meaning of the Income Tax Act (Canada) and one common share purchase warrant (a "Warrant"). Each Non\n Flow-Through Unit was comprised of one regular common share of the\n Corporation and one Warrant. Each Warrant entitles the holder thereof\n to purchase one common share of the Corporation at a price of $0.35 per\n share until the date that is two years from the date of issuance.
