Shareholders who hold their shares in certificated form are encouraged to submit their proxy vote online by logging on to https://investorcentre.linkgroup.co.uk/Login/Login as soon as possible but in any event, to be valid, no later than 2.00 pm on 23 July 2024. You can also vote by downloading the Link Investor Centre app, on Apple App Store or Google Play and following the instructions. Shareholders who hold their shares in uncertificated form may use the CREST electronic proxy appointment service. An electronic proxy appointment via the Proxymity platform may be revoked completely by sending an authenticated message via the platform instructing the removal of your proxy vote. 1 VICTORIA PLC (Incorporated and registered in England and Wales under registered number: 00282204) LETTER FROM THE CHAIRMAN Registered Office: Worcester Six Business Park Worcester WR4 0AE 1 July 2024 To Shareholders Notice of Annual General Meeting Dear Shareholder, I have pleasure in inviting you to the 2024 Annual General Meeting (" AGM ") of Victoria PLC, which will be held at the Company's registered office at Worcester Six Business Park, Worcester, WR40AE at 2.00 pm on Thursday, 25 July 2024. The formal Notice of AGM and the resolutions to be proposed at the AGM (" Resolutions ") are set out on pages 5 to 8 of this document. This letter sets out the details of the items of business to be transacted at the meeting. The AGM affords the Board an opportunity to communicate with its Shareholders and to respond to Shareholder questions. The Board positively encourages Shareholder participation either through attending the AGM in person or voting by proxy on the Resolutions set out in this Notice. Summaries of the Resolutions are set out below as follows: Resolution 1: Receiving the report and accounts The Directors will present to the Shareholders at the Annual General Meeting the accounts for the previous financial year, on this occasion for the year ended 30 March 2024, together with their report and the auditor's report on those accounts. Resolution 2: Re-election of Director Under the Articles of Association of the Company the Directors must take it in turns to retire and offer themselves up for re-election by the Shareholders. Geoffrey Wilding is retiring by rotation and offers himself up for re-election. Resolution 3: Re-election of Director Under the Articles of Association of the Company the Directors must take it in turns to retire and offer themselves up for re-election by the Shareholders. Gavin Petken is retiring by rotation and offers himself up for re-election. Resolution 4: Re-election of Director Under the Articles of Association of the Company the Directors must take it in turns to retire and offer themselves up for re-election by the Shareholders. Blake Ressel is retiring by rotation and offers himself up for re-election. Resolution 5: Re-appointment and remuneration of the auditor The auditor of the Company is required to be appointed or re-appointed at each Annual General Meeting at which accounts are presented. Having expressed their willingness to continue to act as auditors, resolution 5 proposes that Grant Thornton UK LLP be re-appointed. It is normal practice for a company's Directors to be authorised to fix the auditor's remuneration and Shareholder's approval to do so is sought in this resolution. Resolution 6: Granting the Directors authority to allot shares The Companies Act 2006 provides that Directors shall only allot shares with the authority of Shareholders in general meeting. The authority given to the Directors at the last Annual General Meeting to allot (or issue) shares expires on the date of this year's Annual General Meeting. Resolution 6 will be proposed as an ordinary resolution to authorise the Directors to allot unissued share capital in the Company and to grant rights to subscribe for or to convert any security into shares in the Company: up to an aggregate nominal amount of £1,893,881.20, as reduced by any allotment or grant of rights under sub-paragraph (b) of Resolution 6 in excess of this amount. This amount (before any reduction) represents approximately one third of the current issued share capital of the Company (excluding treasury shares); and comprising equity securities in connection with a fully pre-emptive offer only, up to an aggregate nominal amount of £3,787,762.40, as reduced by any allotment or grant of rights under sub-paragraph (a) of Resolution 6. This amount (before any reduction) represents approximately two thirds of the current issued share capital of the Company (excluding treasury shares). This resolution complies with the Investment Association Share Capital Management Guidelines issued in February 2023. The Directors have no present intention of exercising these authorities, which will expire on the conclusion of next year's Annual General Meeting. 2 The Company held 11,831,794 shares in treasury as of 28th June 2024, (being the last practicable date prior to the publication of this document). Resolutions 7 and 8: Disapplication of pre-emption rights The Companies Act 2006 also provides that any allotment of new shares for cash must be made pro rata to individual Shareholders' holdings, unless such provisions are disapplied under section 570 of the Companies Act 2006. The authority given to the Directors at the last Annual General Meeting to allot shares for cash as if section 561(1) of the Companies Act 2006 did not apply to such allotment expires on the date of this year's Annual General Meeting. Resolutions 7 and 8 will, if passed along with Resolution 6, give the Directors' power to allot equity securities or sell any equity securities which the Company holds in treasury for cash without first offering them to existing Shareholders pro rata to their existing holdings. The authorities set out in these Resolutions will expire on the conclusion of next year's Annual General Meeting. Resolution 7 will be proposed as a special resolution. This authority: facilitates issues made by way of rights to Shareholders, including an offer by way of rights, open offer or other pre-emptive offer (in the case of the authority granted under sub-paragraph (b) of Resolution 6, by way of a fully pre-emptive offer only), which are not strictly in accordance with section 561(1) of the Companies Act; otherwise than pursuant to (i), authorises other allotments or sales of up to a maximum aggregate nominal amount of £568,164.35 of shares, representing approximately ten per cent. of the current issued ordinary share capital of the Company (excluding treasury shares only); and otherwise than pursuant to (i) and (ii), authorises other allotments or sales of up to 20% of any allotment under (ii) for the purposes of a follow-on offer of a kind contemplated by paragraph 3 of Part 2B of the Pre- Emption Group's Statement of Principles 2022. Resolution 8 will also be proposed as a special resolution and is limited to allotments or sales: up to a maximum aggregate nominal amount of £568,164.35 of shares, representing approximately ten per cent. of the current issued ordinary share capital of the Company (excluding treasury shares only) for use only in connection with an acquisition or specified capital investment which is announced contemporaneously with the issue or which has taken place in the preceding 12 month period and is disclosed in the announcement of the issue; and otherwise than pursuant to (iv), up to a nominal amount equal to 20% of any allotment under (iv) for the purposes of a follow-on offer of a kind contemplated by paragraph 3 of Part 2B of the Pre-Emption Group's Statement of Principles 2022. Resolutions 7 and 8 are in line with the Pre-Emption Group's Statement of Principles 2022, the template resolutions published by the Pre-Emption Group in 2022 and the Share Capital Management Guidelines published by the Investment Association (as updated in February 2023). In compliance with the Pre-Emption Group's Statement of Principles 2022, the Directors confirm that they will not allot shares for cash on a non-pre-emptive basis pursuant to: the authority in Resolution 8(a) other than for the purposes of financing (or refinancing if the authority is to be used within 12 months of the original transaction) an acquisition or specified capital investment; and the authority for follow-on offers in Resolution 7(c) or Resolution 8(b) other than for the purposes of making a follow-on offer of a kind contemplated by paragraph 3 of Part 2B of the Statement of Principles 2022. The Directors also confirm that they intend to follow the shareholder protections and approach to follow-on offers as set out in paragraphs 1 and 3, respectively, of Part 2B of the Statement of Principles 2022. Resolution 9: Granting the Company the authority to purchase its own shares Resolution 9 will be proposed as a special resolution. This Resolution authorises the directors to make limited on market purchases of the Company's ordinary shares. The power is limited to a maximum of 17,044,930 ordinary shares (approximately 15% of the issued ordinary share capital as of 28th June 2024, being the last practicable date prior to the publication of this Notice) and details the minimum and maximum prices that can be paid, exclusive of expenses. The authority conferred by this Resolution will expire at the conclusion of the Company's next AGM or 18 months from the passing of this Resolution, whichever is the earlier. This power will only be used if the Directors consider that to do so would be in the best interests of Shareholders generally. The Company may either cancel any shares it purchases under this authority or transfer them into treasury (and subsequently sell or transfer them out of treasury or cancel them). 3 Action to be taken You will not receive a hard copy form of proxy for the AGM in the post. Directors' recommendation The Board believes the proposals described above regarding the resolutions to be proposed at the Annual General Meeting to be in the best interests of the Shareholders and the Company as a whole. Accordingly, the Directors unanimously recommend that you vote in favour of each of the resolutions at the Annual General Meeting, as they intend to do in respect of their own beneficial holdings of 22,918,539 ordinary shares in aggregate, representing 20.17 per cent. of the current issued share capital of the Company. KED Victoria Investments, LLC, which has a director representative on the Board, has also confirmed its intention to vote in favour of the Resolutions in respect of its own beneficial shareholdings in the Company (Wood River Capital, LLC, holds the shares on behalf of its affiliate, KED Victoria Investments, LLC) being, in aggregate, 12,500,000 ordinary shares representing 11.00 per cent. of the current issued share capital of the Company. THAT, the Company be generally and unconditionally authorised, pursuant to section 701 of the Companies Act 2006, to make one or more market purchases (as defined in section 693(4) of the Companies Act 2006) of ordinary shares (being approximately 15 per cent of the current issued ordinary share capital of the Company) on such terms and in such manner as the Directors of the Company may from time to time determine, provided that: the maximum aggregate number of ordinary shares that may be purchased is 17,044,930 ordinary shares; the minimum price which may be paid for an ordinary share is 5p; the maximum price (excluding expenses) which may be paid for each ordinary share in the Company, does not exceed the higher of (i) an amount equal to 105 per cent. of the average of the middle market quotations of an ordinary share in the Company as derived from the AIM Appendix to the Daily Official List of the London Stock Exchange, for the five business days immediately before the day on which the purchase is made; and (ii) the higher of the price of the last independent trade of an ordinary share and the highest current independent bid for an ordinary share on the trading venue where the purchase is carried out; and the authority herein contained shall expire at the conclusion of the annual general meeting of the Company to be held in 2025 or 18 months after the passing of this resolution, whichever is earlier, provided that the Company may, before such expiry, make a contract to purchase its own shares which would or might be executed wholly or partly after such expiry, and the Company may make a purchase of its own shares in pursuance of such contract as if the authority hereby conferred hereby had not expired. A vote withheld is not a vote in law, which means that the vote will not be counted in the calculation of votes for or against the resolution. CREST Personal Members or other CREST sponsored members, and those CREST members who have appointed a service provider(s), should refer to their CREST sponsor or voting service provider(s), who will be able to take the appropriate action on their behalf. For a proxy appointment or instruction made by means of CREST to be valid, the appropriate CREST message (a 'CREST Proxy Instruction') must be properly authenticated in accordance with Euroclear UK & International Limited's specifications and must contain the information required for such instructions, as described in the CREST Manual. The message must be transmitted to be received by the issuer's agent (ID RA10) by 2.00 pm on 23 July 2024. For this purpose, the time of receipt will be taken to mean the time (as determined by the timestamp applied to the message by the CREST application host) from which the issuer's agent is able to retrieve the message by enquiry to CREST in the manner prescribed by CREST. After this time, any change of instructions to proxies appointed through CREST should be communicated to the appointee through other means. CREST members and, where applicable, their CREST sponsors or voting service providers should note that Euroclear UK & International Limited does not make available special procedures in CREST for any message. Normal system timings and limitations will, therefore, apply in relation to the input of CREST Proxy Instructions. It is the responsibility of the CREST member concerned to take (or, if the CREST member is a CREST personal member, or sponsored member, or has appointed a voting service provider(s), to procure that his CREST sponsor or voting service provider(s) take(s)) such action as shall be necessary to ensure that a message is transmitted by means of the CREST system by any particular time. In this connection, CREST members and, where applicable, their CREST sponsors or voting system providers are referred to those sections of the CREST Manual concerning practical limitations of the CREST system and timings. The Company may treat as invalid a CREST Proxy Instruction in the circumstances set out in Regulation 35(5)(a) of the Uncertificated Securities Regulations 2001. 8
