Fitch Ratings has affirmed Qorvo, Inc's Long-Term Issuer Default Rating (IDR) and Senior Unsecured Ratings at 'BBB+'.
The Rating Outlook is Stable.
The ratings and Outlook reflect Qorvo's historically conservative financial structure and cumulative investments in technology. These factors are expected to result in relatively stable share with its largest customer and boost non-smartphone revenue, despite the emergence of an activist investor.
Key Rating Drivers
Significant Apple Concentration: Qorvo's high concentration with Apple Inc., representing 47% of fiscal 2025 net revenue, elevates operating risk despite its strong technologies and long-standing relationship with the device maker. Apple's growing use of its own baseband chip has intensified competition among suppliers but also results in additional addressable content for Qorvo and its radio frequency (RF) peers. While long-term collaboration remains crucial for smartphone makers, short product life cycles and inconsistent commercial success lead to annual revenue volatility. Supply and demand distortions related to the Covid pandemic have amplified this volatility in recent years.
Non-Apple Smartphone Weakness: Qorvo's pivot further away from mass market phone models and the decline in revenue from long-time customer Samsung Electronics Co. Ltd.'s (AA-/Stable), which exceeds 10%, due to recent share losses are impacting the company's non-Apple smartphone revenue. Non-Apple smartphone customer revenue declined by 16.2% in fiscal 2025, comprising just over one quarter of total revenue, and is expected to decline further. The mass market smartphone segment, which is the fastest growing, is increasingly dominated by Chinese brands and where Qorvo increasingly does not participate.
Activist Investor stake: Starboard's stake and potential seat on Qorvo's Board of Directors increases operational and event risk. Reducing operating expenses to achieve operational efficiencies, particularly in R&D for revenue diversification, may provide only short-term benefits to profitability. Qorvo's limited headroom under Fitch's 2.0x negative EBITDA leverage rating sensitivity limit the company's ability to sustain share repurchases beyond FCF, without asset divestitures.
Historically Conservative Financial Profile: Management has historically committed to a conservative credit profile, prioritizing technology investments to sustain market positions over capital returns. Fitch-estimated EBITDA leverage should be just under our 2.0x negative rating sensitivity exiting fiscal 2026 and improve through the forecast, although financial policies are less clear given the activist investor's potential seat on the board. Similar EBITDA leverage metrics are typically consistent with an 'A'-category rating, but a conservative balance sheet is necessary to absorb risks associated with end-market demand and customer concentration.
Secular Tailwind Benefits: Qorvo benefits from secular content growth in mobile handset assemblies as well as defense and aerospace, automotive, infrastructure, industrial and consumer. Successive smartphone model releases require higher connectivity speeds and consume greater portions of the available radio frequency (RF) spectrum, increasing the complexity of maintaining reliable wireless connections. Additionally, demand for electrification, connectivity, mobility and AI drives faster long-term addressable market growth rates.
High Investment Intensity: Qorvo's high investment intensity supports its technology leadership and internal manufacturing capabilities. Investment intensity, defined as R&D and capex to revenue, should average more than 20%. Recently, capital spending has decreased following capital additions in response to supply constraints during the pandemic, while R&D spending has increased to support of Qorvo's strategy to diversify revenue beyond smartphones. Nonetheless, product investment represents a fixed cost, which necessitates more conservative leverage at the rating level.
Technological Investments Support Diversification: Fitch believes Qorvo's technological innovation investments support diversification efforts and provide competitive advantages. Non-handset-related sales represented about 30% of fiscal 2025 revenue, with these segments expected to experience double-digit growth over the long term, gradually reducing handset exposure. Fitch considers these technological advantages beneficial to the credit profile through improved diversification and increased barriers to entry, which secure demand for Qorvo's products.
Peer Analysis
Qorvo's credit profile compares favorably with its competitor Skyworks Solutions, Inc. (BBB+/Negative), which has lost share with Apple and for whom Apple represents more than two-thirds of total sales. Qorvo is more diversified and benefits from modestly higher profit margins but Skyworks maintains a more conservative financial structure.
Compared with Broadcom, Inc.'s (BBB/Positive) credit profile, Qorvo compares less favorably due to Broadcom's significant end-market exposure, including nearly 40% of total revenue from recurring infrastructure software revenue. Broadcom's financial flexibility is stronger due to its FCF profile. Qorvo's financial structure historically was stronger than that of Broadcom, but Broadcom has been operating at lower leverage recently. The introduction of an activist investor in Qorvo suggests that its conservative financial policies may change.
Qorvo's credit profile in-line with that of NXP Semiconductors N.V (BBB+/Stable), given NXP's more aggressive capital returns, which are offset by greater diversification and lack of customer concentration. Qorvo's credit profile compares favorably with that of Microchip Technology Inc. (BBB/Stable). Microchip's diversification and profit margins are strengths but its aggressive channel sales strategy has left it with far too much inventory that may take 18 more months to digest, pressuring credit metrics.

Qorvo's liquidity is adequate and, as of March 29, 2025, was supported by $1.0 billion of cash and cash equivalents and an undrawn $325 million RCF expiring in April 23, 2029. Forecast annual FCF of $500 million to $750 million also supports liquidity.
