Every holder has the right to appoint some other person(s) as his proxy to exercise all or any of his rights, to attend, speak and vote on his behalf at the meeting. In order to exercise such rights, the proxy must be in personal attendance at the meeting; the Board therefore recommends that you appoint the chair of the meeting as your proxy in order to ensure that proxy votes may be counted on a poll. Pursuant to regulation 41 of the Uncertificated Securities Regulations 2001, entitlement to attend and vote at the meeting and the number of votes which may be cast thereat will be determined by reference to the Register of Members of the Company at 18:30 BST on the day which is two days before the day of the meeting or adjourned meeting. Changes to entries on the Register of Members after that time shall be disregarded in determining the rights of any person to appoint a proxy to attend and vote at the meeting. In the case of a corporation this form of proxy must be under its common seal or under the hand of a duly authorised officer or attorney authorised in writing. In the case of joint holders who are both present either personally or by proxy, that one of them whose name stands first in the register of members shall alone be entitled to vote. If this form of proxy is signed by an attorney on your behalf the power of attorney must be deposited with the form of proxy.
