Brazil's Administrative Council for Economic Defense (CADE) approved without restrictions Ecopetrol's acquisition of control in Brava Energia, removing a significant regulatory obstacle though operational completion remains contingent on resolving separate securities authority objections, Brazil Energy Insight reported.
The Colombian oil producer proposed acquiring 116.1mn shares representing approximately 25% of Brava's capital structure at BRL 23 ($4.46) per share, valuing the stake at roughly BRL 2.67bn ($518mn). CADE's unconditional authorisation signalled competitive clearance for the transaction.
The approval emerged one day after Brava announced temporary suspension of Ecopetrol's public takeover offer (OPA), following the Securities and Exchange Commission's (CVM) imposition of technical requirements. Ecopetrol indicated it will appeal the CVM's position to the regulator's governing board, contesting the conditions imposed.
Ecopetrol secured initial regulatory clearance in late May to launch the offer, progressing through Brazil's multi-stage acquisition approval framework. The CADE decision eliminated antitrust concerns that might otherwise have challenged the cross-border transaction's competitive implications.
However, the operation's finalisation depends on resolving outstanding matters with CVM, which has discretionary authority over securities-related aspects of the public offering process.
