The RSUs are subject to a service-based vesting requirement and twenty-five percent (25%) of the RSUs shall vest on or before the first anniversary of the Vesting Commencement Date (the "Cliff Vesting Date"), which shall be the first Standard Company Vesting Date (as defined below) that falls immediately on or before such anniversary.
