Capitalized terms used herein without definition shall have the meaning set forth in the Schedule 13D. Item 4 of this Schedule 13D is hereby amended and supplemented by the following: Consummation of the Merger On October 14, 2026 (the "Closing Date"), pursuant to the previously disclosed Merger Agreement, Merger Sub merged with and into the Issuer, with the Issuer surviving as a wholly owned subsidiary of Parent. At the effective time of the Merger (the "Effective Time"), each share of Common Stock issued and outstanding immediately prior to the Effective Time was converted into the right to receive an amount in cash equal to $2.43 per share, without interest (the "Merger Consideration"). As a result of the Merger, the Reporting Persons no longer beneficially own any shares of Common Stock. In connection with the consummation of the Merger, the Issuer notified the New York Stock Exchange (the "NYSE") on the Closing Date that the Merger had been completed and requested that the trading of the Common Stock be suspended and the listing of the Common Stock on the NYSE be removed. The Issuer has requested that the NYSE file a Form 25 with the Securities and Exchange Commission (the "SEC") to report that the Common Stock is no longer listed on the NYSE and to deregister the Common Stock under Section 12(b) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"). After the Form 25 becomes effective, the Issuer intends to file with the SEC a Certification and Notification of Termination on Form 15 to terminate the registration of the Common Stock under Section 12(g) of the Exchange Act and suspend reporting obligations under Section 13 and Section 15(d) of the Exchange Act with respect to the Common Stock. Item 5 of the Schedule 13D is hereby amended and restated in its entirety as follows: As of the Effective Time, the Reporting Persons no longer beneficially own any shares of Common Stock. The information contained on the cover pages is incorporated by reference to this Item 5. Other than as described in this Schedule 13D, during the past 60 days, none of the Reporting Persons or the Related Persons have effected any transactions in the Common Stock. None. As of the Effective Time, the Reporting Persons ceased to be the beneficial owners of more than five percent of the Common Stock.
